Terms of Service
These terms are an agreement between CTIOLab LLC ("CTIOLab", "we", "us") and the merchant that installs the CTIOLab Inventory app ("you") on a Shopify store. By installing or using the App you accept these terms. If you accept them for a company, you confirm you may bind that company.
1. The service
The App helps you manage inventory inside the Shopify admin: syncing stock levels, purchase orders, receiving, stock counts, labels, sales history and reorder forecasts. Forecasts and recommendations are estimates to support your decisions; you remain responsible for what you order and stock.
2. Your account and use
- You need an active Shopify store. Access to the App follows your Shopify staff accounts and the roles you assign in the App.
- You are responsible for the actions of your staff in the App and for the accuracy of what you enter (suppliers, costs, lead times, etc.).
- You must not misuse the App: no attempts to access other merchants' data, interfere with the service, reverse-engineer it beyond what the law allows, or use it for unlawful purposes.
3. Fees
The App is billed monthly by Shopify on your regular Shopify invoice. Plans are based on the number of active SKUs in the App:
- Starter: $19 per month, up to 1,000 active SKUs
- Growth: $49 per month, up to 10,000 active SKUs
- Pro: $99 per month, unlimited SKUs
Every plan includes all features and starts with a 14-day free trial; you are not charged if you uninstall the App before the trial ends. Prices are in US dollars and do not include taxes, which Shopify may add. You choose, change or cancel your plan in the Shopify admin, and uninstalling the App cancels your subscription. If your store grows beyond your plan's SKU limit, the App asks you to move to a larger plan. We will tell you in the App at least 30 days before any price change takes effect.
4. Your data
You own your store's data. You give us permission to process it only to provide, secure and support the App for you. We do not sell your data or use it for anyone else's purposes.
5. Data processing
For personal data of your customers and staff that the App processes on your behalf, you are the controller and CTIOLab is the processor. We will:
- process personal data only to provide the App and on your documented instructions (these terms and your use of the App's settings);
- ensure anyone at CTIOLab with access is bound by confidentiality;
- protect it with appropriate technical and organisational measures, including encryption in transit and at rest, per-store isolation, restricted and logged access, and encrypted backups;
- use only the sub-processors listed in our Privacy Policy, bound by data-protection obligations at least as protective as these, and tell you before adding a new one;
- notify you without undue delay, and within 72 hours, after becoming aware of a personal data breach affecting your data;
- help you respond to requests from your customers (Shopify's data and erasure requests are handled automatically);
- delete your store's data after you uninstall the App (Shopify's shop redaction request, 48 hours after uninstall), except where the law requires us to keep something; and
- make available the information reasonably needed to show we meet these obligations.
Our Privacy Policy describes the data involved, the purposes and the retention periods, and forms part of these terms.
6. Availability and changes
We aim to keep the App available and working, but it is provided "as is" and may occasionally be unavailable, for example during maintenance or when Shopify or our hosting providers have problems. We may improve or change features; if a change significantly reduces what the App does for you, we will tell you in advance.
7. Liability
To the extent the law allows, CTIOLab is not liable for indirect or consequential losses (such as lost profits, lost sales or excess stock), and our total liability under these terms is limited to the fees you paid for the App in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
8. Ending the agreement
You can stop at any time by uninstalling the App; your data is then deleted as described above. We may suspend or end access if you seriously breach these terms, with notice where reasonable.
9. General
These terms are governed by the laws of the State of California, USA. If we change them, we will update the date above and tell you in the App before the change takes effect; continuing to use the App after that means you accept the new terms.
